VIBE MAGAZINE — DRUMSTRUCK SWEEPSTAKES

1. NO PURCHASE NECESSARY. VOID WHERE PROHIBITED. 2. The DRUMSTRUCK Sweepstakes (the “Sweepstakes”) begins on August 11, 2005 and ends on August 30, 2005 (the “Sweepstakes Period”). The Sweepstakes is open to legal residents of the United States, who are 18 years of age and older as of July 9, 2005. Officers, directors, representatives, and employees of VIBE Ventures, L.L.C. (“VIBE”), and the producers of DRUMSTRUCK, (the “Sponsors”) their respective affiliates, distributors and/or distribution networks, subsidiaries or their respective advertising, promotion, publicity, and production agencies, and their immediate families and household members, are not eligible to enter. By participating, entrants agree to abide by these Official Rules. 3. To enter, you must complete an online entry with your name, address, telephone number, age, and email address. Only fully completed entries will be accepted. Entries can be sent via mail to: DRUMSTRUCK SWEEPSTAKES, c/o VIBE Magazine, 215 Lexington Avenue, 6th Floor, New York, NY 10016. Only one entry per person. All entries must be received by August 9, 2005 to be eligible. The prize drawing will be held on or about August 31, 2005. There will be one (1) grand prizewinner chosen from all the entries received. 4. PRIZE: There will be fifteen (15) prizes awarded to the winners of the Sweepstakes. The prize will consist of 15 pairs of tickets to see DRUMSTRUCK at Dodgers Stages in New York City. (Total Approximate Retail Value: $1,830, $122 per pair). All gratuities, gifts, service charges or other expenses not specified herein are the responsibility of the winner. Prizes are non-transferable, with no cash redemption or equivalent. Sponsor reserve the right to substitute a prize or prize component of equal or greater value should a prize or any component of a prize becomes unavailable. 5. Prize winners will be selected on or about August 12, 2005 by a random drawing from among all entries received. All drawings shall be conducted by VIBE whose decisions are final and binding with respect to all aspects of the Sweepstakes. VIBE has the right to cancel the sweepstakes at any time should there be any indication that the sweepstakes has been tampered with. Any entrant who is selected in a drawing under this Sweepstakes shall be deemed a potential winner, and such entrant and his/her entry shall be subject to verification and the requirements of these Official Rules. The odds of winning the prize depend upon the number of eligible entries received during the Sweepstakes Period. 6. The potential winner will be notified via telephone, e-mail, and/or mail. The potential winner will be required to complete, sign, and return a Certificate of Eligibility and Compliance with these Official Rules and a Liability Release and Publicity Release (unless prohibited) and a W-9 form within seven (7) business days upon receipt of mail notification. Failure to complete, sign and return any requested documents may result in disqualification and the selection of an alternate winner at the Sponsor’s sole discretion. You are not a winner unless your entry and submissions are validated. Once the winner is drawn on or about August 12, 2005, winner must get validation within 7 days from notification date and return form to VIBE Magazine. 7. All entries and other submitted material become the property of the Sponsor and will not be acknowledged or returned. The Sponsor and those working for them on their behalf will not be responsible for incomplete, lost, late, or misdirected entries, which will be void. All Sweepstakes participants are responsible for all costs and associated expenses in connection with participating in the Sweepstakes including, but not limited to taxes and any other incidental costs. All federal, state and local laws and regulations apply. All federal, state and local taxes, duties and tariffs dues in connection with receipt or use of the prize are the sole responsibility of the winner. 9. By entering or accepting a prize in the Sweepstakes, the winner agrees to be bound by the decisions, the Sponsor and by these Official Rules; to comply with all foreign, federal, state, provincial and local laws and regulations; to accept all conditions, restrictions, requirements and/or regulations required by the Sponsor in connection with the conduct of the Sweepstakes and the use of their services; and to accept delivery of the prize based upon availability. In addition you represent and warrant that all information contained in your entry is true and accurate. The Sponsor reserve the right to disqualify any entrant for any reason including, without limitation, if that entrant has not complied with the Official Rules or interferes, in the Sponsor’ sole opinion, with the proper conduct of the Sweepstakes. By entering the Sweepstakes, unless prohibited by law, you grant the Sponsor and any of their partners and/or affiliates the right to use, display, distribute or publish your name, likeness, photograph, voice, address (city and state), biographical information, and any material based thereon or derived there from, or to refrain from so doing, in any manner in any and all media, whether now known or hereafter devised, anywhere in the world in perpetuity in connection with the Sweepstakes or as the Sponsor otherwise determines each in their sole discretion, and for purposes of advertising or trade in promoting or publicizing the Sponsor, without compensation.

10. Each entrant agrees to release and hold harmless VIBE Ventures, L.L.C., and each of its respective subsidiaries and affiliates, and each of their respective officers, directors, representatives, employees, agents, successors and assigns, from any damage, injury, death, loss or other liability, either at law or equity, whether known or unknown, asserted or non-asserted, that may arise from or in any way relating to any entrant’s participation in the Sweepstakes or the awarding, acceptance, use or misuse of the prize, or in connection with any entry. All entrants agree that United States law shall apply exclusively to the Sweepstakes and that any dispute with respect to the Sweepstakes shall be resolved in either the federal or state courts located in the State of New York. 11. All winners list requests must be received by August 31, 2005. 12. Sweepstakes is void where prohibited, taxed or otherwise restricted. 13. The Sponsor of this Sweepstakes is VIBE Ventures, L.L.C., 215 Lexington Avenue, 6th Floor, New York, New York 10016.
